BY-LAWS

Article I- Terms of Office

All officers, except the president, assignment secretary, and administrative secretary, shall be elected for a term of one (1) year. The president, assignment secretary, and administrative secretary shall be elected for a term of three (3) years. Any officer may be re-elected for the same office or another office. However, no officer may hold more than one elected office at a time.

In case of vacancy in an office, the Board of Directors shall appoint someone to fill the unexpired term.

Article II- Duties and Powers of the Officers

The duties of the President shall be as follows:

Preside at all meetings of the chapter and the Board of Directors.

bullet

Appoint all committees and be an ex-officio member of all committees except the nomination committee.

bullet

Be responsible for negotiations on behalf of the Waco Chapter.

bullet

Serve as the Waco Chapter’s representative to the TASO and the UIL.

bullet

Perform all other duties commensurate with that office.

The duties of the Vice-President of Programs shall be as follows:

Perform the duties of the President in the absence of the President or the inability to act.

bullet

Be responsible for all programs conducted at regularly scheduled chapter meetings.

bullet

Coordinate the pictorial brochure.

The duties of the Vice-President of Training shall be as follows:

Coordinate training sessions for all members of the chapter when necessary

bullet

Coordinate training for all new members of the chapter. These sessions for new members should begin no later than October 15 of said year and should contain written training schedule and format approved and supported by all Board members.

Coordinate any training sessions for members during the off-season. These may include-- but not be limited to—two- and three-person mechanics, basketball camps and summer league games.

 The duties of the Assignment Secretary shall be as follows:

General Duties:

He shall direct the administrative secretary in all the duties that are designed to provide assistance to the assignment secretary.

bullet

He shall keep a complete file of all members.

bullet

He shall send and receive all reports for the local chapter to the state organization(s).

 Game Assignment Duties:

He shall maintain a roster of the qualified members of the Waco Chapter, and he shall mail this roster to such coaches, school officials or other persons as directed by the Board of Directors.

He shall obtain from each school whose schedule will be worked a list of acceptable officials. Such list shall be signed by the coach or authorized school official in a reasonable time frame.

He shall assign the officials based on the schools’ lists of acceptable officials and based on the officials who are available on the dates in question.

bullet

He shall assist any coach or school official with their officiating needs, requests, etc. in such appropriate ways as are not specifically covered in the Constitution and these Bylaws.

bullet

He shall record all games worked by officials of the Waco Basketball Chapter.

bullet

He shall keep on file all requests for officials of the Waco Basketball Chapter. These files shall be made available to any member of the Waco Basketball Chapter upon request.

bullet

He shall be responsible for making the changes in officials assigned to games when the initiative for the changes is originated by the coach or other authorized school official, or is originated by the assignment secretary due to a shortage of available officials, etc. Other changes in officials will be made by the official or officials involved, but only when such changes are approved in advance by the assignment secretary and the coaches or school officials involved.

 The duties of the administrative secretary shall be as follows:

General Duties:

He shall be in charge of all funds of the chapter. He shall keep such records to show the financial condition of the chapter at all times. These records shall be available to any member upon request.

He shall collect all dues and assessments of the Waco Basketball Chapter. He shall collect the charges for the advertisements in the pictorial brochure. He shall draw and sign such checks as the Board of Directors approves.

·He shall receive all applications for membership in the Waco Chapter, and he shall present them to the Board of Directors for review.

bullet

He shall be responsible for keeping the minutes of each Board of Directors meeting and each regular meeting. Typed copies of the minutes must be made a part of the chapter’s permanent records, and they shall also be made available to any member of the chapter upon request.

He shall be the administrative officer of the attendance records and regulations for the chapter. He shall check the roll at each meeting.

bullet

He shall keep the Constitution and these By-Laws current, providing all new members and transfers with a copy upon admission to the chapter.

bullet

He shall receive and distribute all money received by the chapter for payment of officials for officiating tournaments. He shall also receive and distribute all money received by the chapter for payment of officials for officiating for a school or school district in their regular non-tournament ball games. He shall withhold from monies to be distributed any assessments or dues that officials owe to the chapter.

He shall provide the assignment secretary with a list of the members of the Waco Chapter who have qualified under the Constitution and these By-Laws by having paid all current dues and assessments.

bullet

He shall assist the assignment secretary in general on a need basis, particularly in money-related matters.

Any officer may ask for assistance from any member(s) in good standing if that officer feels that assistance is required to adequately perform the duties of the elected office.

Article III- Duties and Powers of the Board of Directors

The president shall be responsible for calling Board of Directors meetings throughout the current year.

The President shall serve as chairman of the Board of Directors. The Vice President-Programs shall perform the duties of the President in the absence of the President or the inability to act.

The Board of Directors shall take the initiative and be responsible for:

The enforcement of payment of dues and assessments of each member.

bullet

Proposing any needed special assessments.

bullet

Enforcing attendance regulations.

bullet

Enforcing regulations governing uniforms and neat dress.

bullet

Keeping up-to-date the policies of the Waco Basketball Chapter with regard to officiating games.

The Board of Directors shall have the power to make full investigation of any and all alleged violations of the Constitution and these By-Laws of the Waco Basketball Chapter by any member.

The Board of Directors, after consultation with the accused, shall have the authority to place on probation or suspension, any member from membership in the Waco Basketball Chapter for a period of one (1) year or less in matters concerning:

Violations of regulations regarding solicitations of games.

bullet

Non-payment of dues and assessments before the required deadline.

bullet

Failure of any member to give full cooperation to the Board of Directors in the investigation of any matter.

bullet

Conduct of any member detrimental to the reputation of the Waco Basketball Chapter.

The Board of Directors must notify in writing any member charged with a violation for which probation or suspension is recommended. The notification shall state the applicable charges and specifically request the member to present at the Board of Directors meeting in which:

The charges are made and the recommendations are made.

bullet

The vote on whether or not to suspend or place on probation will be taken in a closed-door private meeting of only voting members of the board. A majority vote of the Board of Directors members will constitute suspension of said member. Any disciplinary action taken against any member of the Waco Chapter shall be immediately reported to the Board of Directors of the TASO in Austin, Texas.

The Board of Directors shall be responsible for appointing qualified, experienced officials to conduct any needed observation and grading of working officials.

Observations will be made on those about whom there have been frequent and/or serious complaints, new officials or transfers, and other officials at random.

bullet

The results of the observations and gradings will be reported to the Board of Directors, and the Board of Directors will take appropriate action when necessary to correct and/or to improve poor officiating.

The administrative secretary will use designated funds to compensate the official(s) making such observations as directed by the Board of Directors.

The Board of Directors may approve payment for part-time and/or temporary clerical assistance to be used by the assignment secretary at the time of peak work load in game assignments, subject to the fact that the assignment secretary must submit to the Board of Directors a requisition for payment, listing the name of the person to whom payment will be made and the estimated amount.

Article IV- Duties and Responsibilities of Committees

The nomination committee shall be responsible for nominating a list of members in good standing for the Board of Directors positions to be voted upon at the election for said year.

The training committee shall be responsible for assisting the Vice President-Training in the training and education of current members and new members through clinics, camps, leagues, etc.

Article V- Regulations That Govern Each Member

All dues for each year shall be payable as set forth above, except those set by special action of the Board of Directors. Any member who shall not have paid his dues or special assessments shall not be eligible to have his/her name listed on the local membership roster for the following year. Members in the military service shall be carried as non-active upon request, and they shall not be required to pay local dues until his/her return from service.

Each member must wear the uniform prescribed by the TASO. Repeated failure to do is grounds for punitive action.

When the official accepts a game assigned by the secretary, he must fulfill the game assigned. An official who is assigned a game and fails to show up for the game shall be fined the minimum charge for one (1) game. The fine must be paid within fifteen (15) days of notice and remaining games may be cancelled.

Fees for working games will be the maximum governed by the schedule of fees listed in the Constitution and contest Rules of the UIL. The mileage fee payable to officials shall be equal to the maximum fee listed in Constitution and Contest Rules of the UIL. Game fees for junior high school games, tournament games and other non-varsity games are exceptions, and fees for such games shall be established by the Board of Directors to the extent same are not included within such schedule of fees.

Members must attend all the chapter meetings unless working an assigned basketball game by the chapter or a college conference or representing the chapter at scheduled school or district meetings. The Board of Directors shall be empowered to establish an attendance policy and to enforce its provisions by appropriate action.

The acceptance of membership in the Waco Chapter obligates each member to observe all regulations as set forth in the Constitution and these By-Laws.

Members, however, are NOT guaranteed any amount of games, including playoffs, due to prior experience.

Officials may not solicit or accept game assignments directly from coaches or school administrators. Any schedules or tournament brackets submitted to any official shall be immediately given to the assignment secretary.

Members who leave the chapter with a good-standing status and then return the next basketball year or in the following years may re-enter the chapter at the status they achieved when they left.

Members who do not pay their dues at the end of the season may pay their dues plus reinstatement fee at the beginning of the next basketball season. These members will be assigned games that have not already been assigned to the members who paid their dues at the end of the previous season by an established date.

Members who leave the chapter during the basketball season and then wish to re-enter during the same season shall meet with the Board of Directors to explain their reasons for leaving and then desiring reinstatement. The Board of Directors shall then make a decision as to the status of the member.

The Board of Directors of the Waco Basketball Chapter will make all decisions on reinstatement not covered under the preceding guidelines of this article. These will be considered on an individual basis.

Article VI- Transfers

All members of the TASO transferring from other local chapters will be considered for membership in the Waco Chapter in keeping with the following procedure:

The transfer must provide the Board of Directors with a recommendation from a qualified officer of the last local chapter in which he was a member.

The Board of Directors will evaluate the written recommendation and all other information it may have regarding the transfer and rule on whether or not he/she will be accepted into the Waco Chapter.

An official seeking transfer into the Waco Chapter from a professional officiating organization outside the TASO must first become a member in good standing of the TASO. Then, the same procedure for transfers listed in Section 1 will be followed, with the exception that he/she must have two (2) letters of recommendation from qualified officers of the professional officiating organization in which he/she was a member.

All transfers must adhere to the rules and regulations of the TASO and the Waco Basketball Chapter.

Article VII- Contracts

It will be the policy of the Waco Chapter that game assignment contracts may be used at such time that the Board of Directors and/or the Waco Chapter membership feel they are necessary.
